  • [H2] BUYER agrees to fully indemnify ONYX for any and all damages which may result from the purchase, handling or use of the PRODUCT. The BUYER shall also be liable for all demands, claims, suits or actions for third party property damage and/or bodily injury to any person or persons, and any other charge, expense, tax, loss, damage, claim or liability whatsoever, arising out of or relating to the PRODUCT involving its use pursuant to this agreement (other than that caused by the sole direct gross negligence of ONYX), and the BUYER agrees to fully indemnify, defend, protect and hold harmless (including costs and legal fees) ONYX, its agents, servants, or employees, of and from all such charges, expenses, taxes, losses, damages, claims, suits or actions, including those from its own employees notwithstanding any immunity from suit pursuant to a compensation act. In no event, including without limitation if the PRODUCT is nonconforming, defective, infringing, delayed, or not delivered, will ONYX be liable for any special, incidental, indirect, or consequential damages (such as lost profits), whether under a contract, tort, warranty, or other legal theory. ONYX does not undertake any responsibility for the consequence of the use of any PRODUCT in combination with any other defective or substandard material, substance or other product. ONYX shall not be liable for any personal injury or property damage caused by the improper use and/or handling of its PRODUCT. BUYER undertakes to enter into and maintain an insurance covering such damages and to indemnify and hold ONYX harmless if any such damage would occur.
